Bee Bella's Wholesale Terms and Conditions
Price and Policies. Prices for Merchandise, our Manufacturer's Suggested Retail Price (MSRP), Minimum Advertised Price (MAP) Policy, and lip balm tube refill program are set forth on the Seller’s online Wholesale Vendor Portal. Prices and policies shall be subject to change by Seller without notice.
In-Store Purchase Only. Reseller shall sell the Merchandise in-store only. Reseller shall not sell the Merchandise via online means.
Purchase Orders. Reseller must submit a digital purchase order for the Merchandise through the Seller’s website (www.beebella.buzz), setting forth the quantity of Merchandise to be purchased. All orders are processed subject to availability.
Wholesale Vendor Portal. Once Seller receives and accepts "Merchandise Sale and Purchase Agreement" the Reseller will be granted access to the Wholesale Vendor Portal.
Payment. Reseller shall pay for Merchandise upon submission of all online orders. Credit may be offered by the Seller to the Reseller at the Seller's discretion.
Refund or Buy-back. Reseller may return any unsold Merchandise item(s) in original condition to Seller for a full refund within thirty (30) days of purchase. Reseller shall bear the cost of shipping, handling and insurance for returned Merchandise.
Shipping. Reseller will be responsible for all Merchandise shipping and handling expenses, including (if applicable), customs clearance, import/export fees, freight risks and insurance. Reseller must notify Seller of any claimed shipping error or damage within five (5) days of receipt of Merchandise. Customer’s failure to give such notice within that five-day period shall be deemed a waiver of Customer's claim for incorrect or damaged shipments.
Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, SELLER
MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE
MERCHANDISE. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING
WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND
FITNESS FOR A PARTICULAR PURPOSE, ARE HEREBY DISCLAIMED BY SELLER.
IN NO EVENT SHALL SELLER BE LIABLE FOR INDIRECT, INCIDENTAL OR
CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST
REVENUES OR PROFITS OF RESELLER.
Buyer-Seller Relationship. The relationship created by this agreement is solely a buyer-
seller relationship. This agreement does not make either party the employee, agent, or
legal representative of the other for any purpose whatsoever.
Governing Law; Dispute Resolution. This Agreement shall be governed by the laws of
the State of Wisconsin and the forum shall be Winnebago County. Any dispute arising
from this Agreement shall first be addressed by the parties through informal dispute
resolution procedures conducted in good faith. If the parties do not resolve the dispute
within thirty (30) days of the date of the first dispute resolution meeting, the parties
agree to mediate the dispute in a mutually agreed-upon place with a mutually agreed-
upon mediator, the costs of which shall be borne equally by the parties.
MINIMUM ADVERTISED PRICE POLICY Bee Bella, LLC has unilaterally adopted this
Minimum Advertised Price Policy (“MAP Policy”) on selected products, which shall apply
to all distributors and retailers (collectively “Resellers”) who resell Bee Bella products to
end users located in the United States of America. Bee Bella is adopting this MAP
Policy to preserve its strong reputation for providing customers with high value products
and a commitment to sustainability.
The MAP Policy shall work under the following guidelines:
1. The MAP Policy shall apply to all Bee Bella products sold by Resellers and may
be adjusted by Bee Bella at its sole discretion.
2. The MAP Policy applies to all advertisements of any Bee Bella products in any
and all media, including, without limitation, flyers, posters, coupons, mailers, inserts,
newspapers, magazines, catalogs, mail order catalogs, Internet or similar electronic
media including websites, email newsletters, email solicitations, television, radio, and
public signage. The MAP Policy is not applicable to any in-store advertising that is
displayed only in the store and not distributed to any customer. In-store displays, pointof-
sale signs, hangtags or bar codes or similar marks on products or product packaging
which merely state the price are not considered “advertising” for purposes of this MAP
Policy. In that regard, this MAP Policy does not apply to the actual sales price on any
“check-out page” on any Reseller’s website or related internet site (typically the page at
which the end user finally purchases the product). This MAP Policy does apply to any
other page(s) on the Reseller’s website.
3. If pricing is displayed, any strike-through or other alteration of the Minimum
Advertised Price is prohibited.
4. The MAP Policy applies only to advertised prices and does not apply to the price
at which the products are actually sold or offered for sale to an individual consumer within
the Resellers retail location or over the telephone. Bee Bella Resellers remain free to sell
the selected MAP products at any prices they elect.
5. The MAP Policy does not establish maximum advertised prices. All Resellers may
offer Bee Bella products at any price in excess of the MAP established for such products.
Internet auctions may not display or have reserved bid or other acceptable prices below
the MAP price.
6. The MAP Policy does not in any way limit the ability of any dealer to advertise that
“they have the lowest prices” or, they “will meet or beat any competitor’s price,” that
consumers should “call for a price” or phrases of similar import as long as the price
advertised or listed for the products is not less than MAP.
7. From time to time, Bee Bella may activate promotions for products covered by the
MAP Policy because the products are being discontinued or because they are just being
released. In such events, Bee Bella reserves the right to modify or suspend the MAP with
respect to the affected products by notifying all Resellers of such a change. Bee Bella
further reserves the right to adjust the MAP with respect to all or certain products at its
sole discretion without notice to Resellers, provided that such changes shall apply equally
to all Resellers.
8. In cases of violation of the MAP Policy, Resellers will be allowed twenty-four (24)
hours to bring advertising into compliance or Bee Bella with cease supplying products to
the Reseller. In cases of intentional and/or repeated failure to abide by this policy, Bee
Bella will terminate all orders from Bee Bella to the Reseller. Bee Bella will not provide
prior notice or issue warning before taking action under this policy.
9. This MAP Policy is solely Bee Bella’s decision and responsibility. No employee or
sales representative of Bee Bella has any authority to discuss or modify this policy and
any action of any person, which claims to modify this policy or to solicit or obtain the
agreement of any person to the policy, is unauthorized and invalid. Any questions about
this policy should be in writing and directed to Jonathan Dudzinski, Manager, who will
respond only in writing. No oral communications about this policy are authorized. This
MAP Policy and any MAP Product Listing is subject to modification or discontinuance by
Bee Bella, in its sole and absolute discretion, at any time. Any action taken by Bee Bella
under this policy shall be without liability to Bee Bella.

11. This form shall be signed and returned to Bee Bella and, in doing so, will bind the
Reseller to abide by the MAP Policy and Reseller requirements spelled out in this
